Important Notice
Welcome to DHwork software and related services. DHwork is a product and service that uses artificial intelligence models, software tools, workflows, or other technical capabilities to assist users in processing information, generating content, invoking authorized tools, or executing tasks (collectively, the “Service”).
Before registering, downloading, installing, logging in, accessing, or using the Service, please carefully read and fully understand this Agreement, especially the provisions concerning service boundaries, data processing, third-party services, disclaimers and limitations of liability, suspension or termination of services, and dispute resolution that are highlighted in bold or another prominent manner. Enterprise Users should ensure that their Administrators and End Users have been informed of and comply with this Agreement.
AI-generated content may contain errors, omissions, bias, insufficiently current information, content identical to that of others, or content unsuitable for particular scenarios. The Service does not replace professional judgment. For matters that may have a significant impact, cause financial loss, legal consequences, personal safety risks, production changes, or irreversible results, you should conduct independent and thorough human review and obtain the necessary authorization before execution.
By clicking to confirm, checking an agreement box, registering, installing, logging in, accessing, or using the Service, you indicate that you have read and accepted this Agreement; such actions by an Enterprise User’s Administrator or other authorized person are deemed acceptance of this Agreement on behalf of the Enterprise User. If you do not agree to this Agreement, please do not use the Service.
Article 1. Parties, Scope, and Constituent Documents
This Agreement is entered into between the natural person, legal person, or unincorporated organization using the Service (“you” or the “User”) and 数贸科技(北京)有限公司 (“DHwork” or “we”).
This Agreement applies to your use of the Service through clients, web pages, interfaces, plugins, integrated applications, administration consoles, or other means, and to calls to the Service by automated programs, agents, systems, tools, or persons configured, authorized, or controlled by you.
Product pages, orders, pricing plans, service descriptions, privacy policies, data processing agreements, acceptable use policies, third-party service rules, enterprise supplementary agreements, and other rules we validly publish in accordance with law in relation to the Service may all form part of this Agreement. In the event of inconsistency between documents, the following order of precedence applies:
A written agreement or order separately signed by both parties;
The data processing agreement (only for matters concerning Personal Information and Enterprise Data processing);
Product-specific rules or service level agreements;
This Agreement;
Product pages, help documentation, and other rules.
If you use the Service on behalf of an enterprise, organization, or other entity, you represent and warrant that you have sufficient authority to bind that entity to this Agreement; “you” also includes that entity and its Administrators and End Users. If you are not authorized, you should immediately stop using the Service.
In principle, the Service is offered to users with full capacity for civil conduct. Users under the age of eighteen should use it with the consent and guidance of a guardian; where the product’s intended audience, laws or regulations, or specific rules require use to be limited to adults or Enterprise Users, those requirements apply.
Article 2. Definitions
Unless the context provides otherwise, the following terms have these meanings:
“Software” means the clients, web versions, plugins, interfaces, components, software development kits, and updated versions provided by DHwork.
“Enterprise User” means an entity that orders or uses the Service in the name of a legal person, unincorporated organization, government agency, public institution, social organization, partnership, individual industrial and commercial household, or other organization.
“Administrator” means a person designated by an Enterprise User who has authority over organizational management, account provisioning, member management, permission configuration, data management, or expense management.
“End User” means an individual provisioned, assigned, invited, or authorized by an Enterprise User to use the Service, including its employees, consultants, outsourced personnel, collaborators, or other authorized persons.
“User Content” means data, files, text, images, audio and video, code, instructions, prompts, credentials, configuration information, and other content that you or an End User submit, upload, transmit, synchronize, connect, instruct the Service to access, or otherwise provide to the Service.

“Enterprise Data” means data submitted, generated, stored, or produced by an Enterprise User and its Administrators and End Users in the course of using the Service, including organizational information, member and permission information, User Content, Output Content, operational records, audit logs, ordering and usage information, and similar data. An Enterprise User has the right to determine the purposes and means of processing Enterprise Data in its relationship with End Users.
“Third-Party Services” means models, cloud services, plugins, applications, interfaces, tools, content, payment services, or other services provided by entities other than DHwork.
“Applicable Law” means laws, administrative regulations, departmental rules, judicial interpretations, regulatory requirements, and other effective norms binding on you, DHwork, the Service, or the relevant data processing.
Article 3. Service Content and Software License
DHwork will provide you with the corresponding version of the Service in accordance with this Agreement, the order, or the product page. Features, availability, call quotas, support scope, data storage locations, and service levels may differ across devices, regions, versions, plans, or account types, subject to the actual information displayed, the order, or specific agreements.
Provided that you comply with this Agreement and pay the agreed fees (if any), DHwork grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install, access, and use the Software and the Service within the agreed period and scope solely for your lawful internal business or personal non-commercial purposes.
Unless permitted by Applicable Law or with DHwork’s prior written consent, you may not: copy, rent, lend, sell, distribute, transfer, or sublicense the Software; modify, translate, reverse engineer, decompile, disassemble, or attempt to obtain its source code; bypass usage, access, geographical, account, technical protection, or security restrictions; use the Service to provide competing services to third parties, share accounts, or conduct bulk or automated access without permission; or remove or obscure proprietary notices.
The Service may include beta versions, trial versions, preview features, or free features. Such features may be unstable, change rapidly, or be discontinued at any time, and may not provide support, service level commitments, data backups, or long-term compatibility assurances. Except for liabilities that cannot be excluded under Applicable Law, DHwork provides such features “as is.”
You should obtain the Software from DHwork’s official website, app stores, or other authorized channels. DHwork is not liable for losses caused by obtaining the Software or installation packages from unauthorized sources.
Article 4. Accounts, Enterprise Management, and Security of Use
You should provide registration, authentication, ordering, and contact information that is true, accurate, complete, and kept up to date, and complete necessary real-name, entity, or authorization verification as required by law. DHwork has the right to require additional supporting materials based on Applicable Law, risk control, or service needs.
Accounts are limited to use by the registered entity or End Users authorized by an Enterprise User. You should safeguard your accounts, passwords, keys, tokens, devices, and other credentials, enable reasonable security measures, and be responsible for activities carried out using your accounts or credentials, except where the law provides otherwise or the circumstances are attributable to DHwork.
Enterprise Users should carefully configure Administrators, members, roles, tool permissions, approval processes, keys, and Connectors. An Administrator’s provisioning, authorization, deletion, export, sharing, tool calls, or other management operations are deemed valid acts of the Enterprise User. Enterprise Users should ensure that End Users have authorization commensurate with their permissions.
If you discover account misuse, credential leakage, abnormal access, or another security incident, you should immediately take reasonable measures and notify DHwork. DHwork may take verification, restriction, freezing, resetting, or other protective measures to the extent reasonably necessary.
Article 5. AI Features, Tool Calls, and Execution Controls
The Service may use artificial intelligence models to understand user instructions and User Content and generate Output Content; some features may also, within the scope you expressly authorize, confirm, or preconfigure, connect to local devices, cloud environments, or Third-Party Services, invoke tools, read or write files, execute commands, create tasks, send information, or perform other operations.
Output Content is for reference only and does not constitute any investment, financial, medical, legal, tax, audit, engineering, safety, recruitment, educational, or other professional advice, commitment, or guarantee. You should exercise independent judgment in light of the actual circumstances and be responsible for input, review, adoption, publication, execution, and their consequences.
Before authorizing the Service to perform operations that may affect data, systems, accounts, funds, production environments, external communications, or third-party rights and interests, you should verify the target of the operation, permission scope, parameters, commands, and expected results, and establish testing, backup, approval, human review, and rollback mechanisms appropriate to the risks. Unless the parties otherwise agree in writing, DHwork does not guarantee the results of operations performed by Users or their authorized programs.
You should grant the Service only the minimum permissions necessary to complete a specific task and have the right to revoke connections, keys, tokens, or tool authorizations at any time subject to product capabilities. You may not authorize the Service to access or process data, systems, or resources that you are not entitled to access, process, or disclose.
For automated, scheduled, bulk, or unattended tasks, you should set appropriate limits on amounts, frequency, scope, environments, approvals, and alerts yourself, and bear the risks arising from improper configuration, authorization, instructions, data, or approvals. For security or compliance needs, DHwork may issue warnings, block, rate-limit, suspend, or conduct human review of high-risk instructions, tool calls, or automated actions, but such measures do not mean that DHwork identifies or assumes all risks.
Article 6. User Content, Enterprise Data, and Personal Information Protection
You retain the rights you lawfully hold in User Content and Enterprise Data. You should ensure that the collection, use, uploading, sharing, cross-border transfer, and authorization of processing by the Service of User Content all have a lawful basis, and that the required consent, authorization, notice, or other permissions have been obtained or provided; where third-party Personal Information, trade secrets, regulated data, or data subject to contractual restrictions is involved, you should also satisfy the corresponding requirements of laws, contracts, and internal policies.
To provide, maintain, safeguard, and improve the Service, DHwork may process User Content and Enterprise Data to the extent necessary, including storage, transmission, backup, analysis, troubleshooting, generation of Output Content, fraud prevention, and security protection. You grant DHwork a non-exclusive, worldwide, royalty-free processing license necessary for the foregoing purposes, limited to the service term and a reasonable retention period. This license does not transfer ownership of User Content or Enterprise Data.
For the processing of Personal Information in Enterprise Data, unless the parties otherwise agree in writing, the Enterprise User is usually the party determining the purposes and means of processing Personal Information, and DHwork provides entrusted processing or technical support according to the Enterprise User’s lawful instructions. The processing of Personal Information is governed by the DHwork Privacy Policy.
Unless your separate, explicit authorization has been obtained, or the data has undergone de-identification and anonymization and Applicable Law permits it, DHwork does not use identifiable User Content or Enterprise Data to train general-purpose models that provide services to other users. The specific scope of model optimization, human annotation, log retention, diagnostic data, and de-identified data is governed by the privacy policy, data processing agreement, order, and product settings.
You understand that Output Content may be identical or similar to content obtained by other users. DHwork does not promise that Output Content is original, unique, eligible for intellectual property protection, or suitable for your particular use.
To the extent permitted by law and technically feasible, you may exercise rights such as access, correction, deletion, export, and withdrawal of authorization in accordance with product features or the privacy policy. Some data may not be deleted immediately because of statutory retention obligations, dispute handling, security protection, backup cycles, or a reasonable period necessary to implement such requests.
DHwork will take administrative, technical, and organizational measures appropriate to the risks of the Service to protect data security, but internet transmission, software systems, and third-party network environments are not absolutely secure. You should also take reasonable measures to protect the security of data, devices, and credentials, and back up important data yourself unless the order contains an explicit backup commitment.
Article 7. Third-Party Services and Open-Source Components
The Service may integrate or allow you to connect to Third-Party Services. Third-Party Services are independently provided by, and are the responsibility of, the corresponding third party, and may be subject to separate terms of service, privacy policies, data processing rules, and fees. You should read, assess, and comply with those rules yourself.
When you actively enable, connect, authorize, or select Third-Party Services, you authorize DHwork to transmit the relevant User Content, request parameters, identity information, or authorization information to that third party to the extent necessary to establish the connection. Once transmitted, the relevant data will be subject to the third party’s rules; please assess its data processing locations, security capabilities, cross-border arrangements, and compliance with particular care.
Unless the law provides otherwise or DHwork makes a separate express commitment concerning a specific Third-Party Service, DHwork is not responsible for the availability, security, lawfulness, accuracy, continuity, data processing, or losses caused by Third-Party Services. Disputes between you and a third party should be resolved by those parties themselves.
The Software may contain open-source software or components subject to third-party licenses. The corresponding components are governed by their accompanying open-source or third-party licenses; where those licenses are inconsistent with this Agreement, those licenses prevail for the corresponding components.
Article 8. User Conduct
You may not use the Service to carry out or assist in carrying out acts that violate Applicable Law, regulatory requirements, the public interest, or others’ lawful rights and interests, and may not create, copy, publish, disseminate, store, process, or instruct the Service to process unlawful or improper content.
Without limiting the preceding paragraph, you may not:
Endanger national security or public safety, incite violence, terrorism, or extremism, or disseminate unlawful and harmful information;
Infringe others’ privacy, Personal Information, portrait rights, reputation, intellectual property, trade secrets, or other lawful rights and interests;
Engage in fraud, phishing, gambling, money laundering, sanctions evasion, unlawful transactions, false marketing, review manipulation, or other unlawful activities;
Create or disseminate unlawful pornographic, violent or gory, discriminatory or hateful, bullying or harassing content, or other content prohibited by law;
Access, scan, interfere with, attack, or damage systems, accounts, networks, or data without authorization, bypass security measures, create or disseminate malicious code, or abuse vulnerabilities;
Impersonate others or fabricate identities, use deep synthesis or generative AI to create or disseminate content that is legally required to be labeled without labeling it, or otherwise mislead the public;
Use the Service to develop, train, provide, or promote products or services that substantially substitute for or compete with DHwork, unless the parties otherwise agree in writing;
Violate export controls, economic sanctions, outbound data transfer requirements, industry regulation, or other requirements of Applicable Law.
You are responsible for acts carried out through your accounts, Administrator permissions, interface keys, automated programs, or tool authorizations. If DHwork has reasonable grounds to believe that you have violated this Agreement or Applicable Law or that a security risk exists, it may, to the extent consistent with legal requirements, issue warnings, require remediation, restrict features, rate-limit, delete or block relevant content, suspend or terminate services, preserve records, report to competent authorities, or take similar measures.
Article 9. Fees, Orders, and Taxes
The features, duration, prices, usage rules, payment methods, renewals, and refund rules of paid services are governed by the product page, order, or specific agreement. Unless otherwise agreed in writing, fees exclude taxes and charges that you are required by law to bear.
Where prepaid, subscription, or automatic renewal models are used, DHwork will display the corresponding information in accordance with Applicable Law and product rules. You should ensure that payment information is true and valid and make payments on time. For overdue payments, DHwork has the right, after reasonable notice, to restrict, suspend, or terminate the corresponding paid services and recover outstanding amounts and reasonable costs of enforcing its rights in accordance with law.
Free quotas, discounts, complimentary benefits, or test benefits may not be exchanged for cash, transferred, or redeemed for their cash value, and DHwork may adjust or withdraw them according to the promotion rules. Unless the law provides otherwise, DHwork is in breach, or the order provides otherwise, fees already paid are usually non-refundable.
Article 10. Intellectual Property and Feedback
DHwork and its licensors hold the corresponding intellectual property and other lawful rights and interests in the Software, the Service, interfaces, identifiers, documentation, model orchestration, algorithms, technology, databases, and other related content. All rights not expressly granted to you by this Agreement are reserved by DHwork or the relevant rights holders.
Provided that you comply with this Agreement and Applicable Law, you may use Output Content to the extent permitted by law. As between you and DHwork, DHwork does not claim ownership of Output Content lawfully obtained by you; however, this is not a guarantee by DHwork of non-infringement, usability, exclusivity, or ownership of rights in Output Content, and does not affect rights that third parties may hold.
DHwork may use the comments, suggestions, problem reports, or ideas for improvement you provide (excluding User Content you expressly mark as confidential) free of charge to improve products and services, without paying you fees or undertaking additional obligations.
Without DHwork’s prior written permission, you may not use DHwork’s name, trademarks, or logos or conduct publicity in DHwork’s name; DHwork should also obtain your prior permission to use your name, trademarks, logos, or customer case studies, unless the law provides otherwise or the parties otherwise agree.
Article 11. Service Changes, Suspension, and Termination
DHwork may update, upgrade, repair, maintain, adjust, or discontinue certain features of the Service based on technological development, product operations, security, compliance, changes in law, or commercial arrangements. For major changes that may materially affect your existing rights and interests, DHwork will provide advance notice as required by law or by reasonable means, except in circumstances involving emergency security responses, legal requirements, or prevention of further losses.
DHwork may suspend or restrict all or part of the Service in the following circumstances and notify you where feasible: system maintenance, fault repairs, or security incidents; unlawful conduct, breach, fraud, abuse, infringement, or obvious security risks in your use; requirements of competent authorities; failure to pay fees on time; or other circumstances reasonably necessary to protect users, third parties, or platform security.
You may stop using the Service or close your account according to product rules. Before an account, order, or service terminates, Enterprise Users should export Enterprise Data they are entitled to export themselves and properly address their relationships with End Users.
This Agreement terminates when you stop using the Service, close your account, your order expires, the parties rescind the Agreement, or DHwork terminates the Service. Upon termination, the Software license automatically terminates, and you should stop using the relevant services and Software. DHwork will handle the relevant data in accordance with the privacy policy, data processing agreement, order, Applicable Law, and backup cycles; assistance with data export, return, deletion, or migration is subject to the scope, time limits, and fees agreed by the parties.
Provisions of this Agreement that by their nature should survive termination, including data processing, confidentiality, intellectual property, disclaimers and limitations of liability, indemnification, and dispute resolution, remain effective.
Article 12. Disclaimers and Limitations of Liability
To the maximum extent permitted by Applicable Law, the Service is provided on an “as is” and “as available” basis. DHwork makes no express or implied warranties concerning the Service or Output Content, including warranties of uninterrupted operation, freedom from errors, security, timeliness, accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, uniqueness of output results, or satisfaction of your particular needs.
DHwork does not guarantee that the Service can identify, block, or avoid all errors, risks, unlawful content, malicious instructions, third-party attacks, or unauthorized access; you may not use the Service in high-risk scenarios that may cause personal injury, substantial property loss, or other significant harm without appropriate human supervision and risk controls.
To the maximum extent permitted by Applicable Law, DHwork is not liable for losses caused by: your or a third party’s operations, authorization, configuration, instructions, data, or network environment; failures of Third-Party Services or communication lines; force majeure; system maintenance or security responses; your violation of this Agreement or Applicable Law; or other causes beyond DHwork’s control.
To the maximum extent permitted by Applicable Law, DHwork is not liable for any indirect, incidental, special, punitive, or consequential losses, or losses of profits, revenue, goodwill, opportunities, data, or business interruption, even if it has been advised of the possibility of such losses.
Except for liability arising from DHwork’s intentional misconduct or gross negligence, liability for personal injury, or liability that may not be limited or excluded under Applicable Law, DHwork’s aggregate liability for compensation relating to this Agreement or the Service is capped at the total fees you actually paid to DHwork for the service giving rise to the dispute during the twelve (12) consecutive months preceding the event giving rise to liability; if you have paid no fees, the cap is RMB [100/1,000/10,000].
Each limitation in this Article applies independently to the maximum extent permitted by Applicable Law; if any limitation is held invalid, the validity of the other limitations is unaffected.
Article 13. Indemnification and Responsibility
If you, your Administrators, End Users, authorized programs, or Third-Party Services you connect violate this Agreement or Applicable Law or infringe third-party rights and interests, causing DHwork or its affiliates or partners to incur claims, penalties, losses, expenses, or liabilities, you should bear the corresponding responsibility and compensate DHwork for the resulting reasonable losses, legal fees, investigation costs, and costs of enforcing its rights.
If a third party claims that your lawful use of the unmodified Software itself, created and provided by DHwork, infringes its intellectual property rights valid in mainland China, DHwork may, at its own option: obtain the necessary rights for you to continue using it; modify or replace the relevant portion; or terminate the affected service and refund fees paid for the unused period (if any). This paragraph does not apply to claims arising from User Content, Output Content, Third-Party Services, your violation of this Agreement, combined use not provided by DHwork, or unauthorized modifications.
This Article does not limit either party’s defenses available under law or exclude liability that may not be excluded under Applicable Law.
Article 14. Agreement Updates, Notices, and Contact
DHwork may revise this Agreement according to legal, regulatory, product, or operational needs. For revisions affecting significant user rights and interests, DHwork will provide notice through website announcements, in-product notifications, in-service messages, email, or other reasonable means, and the revisions will take effect after a reasonable period, except where immediate effect is required by law or necessary to address urgent security or compliance risks. Continued use of the Service after the effective date is deemed acceptance of the revised Agreement; if you disagree, you should stop using the Service before it takes effect and handle outstanding orders according to the rules.
You agree that DHwork may send Service-related notices to the email address, mobile number, in-service messaging channel, product notification channel, or mailing address recorded during registration or in the administration console. After a notice is sent, it is deemed delivered at the time it would normally be receivable, unless mandatory provisions of law provide otherwise.

Article 15. Governing Law and Dispute Resolution
The formation, validity, performance, interpretation, and dispute resolution of this Agreement are governed by the laws of mainland China, the People’s Republic of China, excluding conflict-of-laws rules.

The place where this Agreement is signed is Haidian District, Beijing. If Applicable Law contains other mandatory provisions concerning consumer jurisdiction or dispute resolution, those provisions prevail.
Article 16. Miscellaneous
If any provision of this Agreement is held invalid, unlawful, or unenforceable, the validity of the remaining provisions is unaffected; the parties should replace it, to the extent lawful, with a valid provision that most closely reflects the original commercial purpose.
DHwork’s failure or delay in exercising any right under this Agreement does not constitute a waiver of that right.
Neither party may assign its rights or obligations under this Agreement without the other party’s prior written consent, except for an assignment by DHwork due to a merger, division, reorganization, sale of major assets, or transfer of service operations to an affiliate; DHwork will notify you as required by law or by reasonable means.
This Agreement constitutes the entire agreement between the parties concerning the Service and supersedes prior oral or written communications relating to the Service, except where the parties have a separate written agreement.
